Terms of Service

These Terms of Service ("Terms") are an agreement between you and Amrezo Inc. ("Amrezo," "we," "us," or "our") governing your use of Cara: Mental Health Companion ("Cara"). By downloading or using Cara, you agree to these Terms. If you do not agree, do not use Cara. Apple's Standard Licensed Application End User License Agreement also applies to the extent required by the App Store.

Eligibility

You must be at least 18 years old and legally able to enter into these Terms. Cara does not create a separate user account.

What Cara is

Cara is a general wellness and self-reflection companion. It can help you reflect, keep notes, notice tentative patterns, and try general wellness exercises. Its output may be generated by on-device or optional cloud artificial intelligence and may be inaccurate, incomplete, inappropriate, or inconsistent. You are responsible for deciding whether and how to act on it.

Cara is not a therapist, clinician, medical device, healthcare provider, diagnosis or treatment service, emergency service, or safety-monitoring service. It has not been clinically validated to diagnose, treat, cure, or prevent any condition. Cara does not provide medical advice, medication instructions, or professional mental-health care. Always seek advice from a qualified professional for medical or mental-health concerns.

Emergencies and crisis situations

Do not rely on Cara in an emergency or crisis. Cara cannot monitor your safety, contact emergency services, alert another person, or guarantee that it will detect crisis language. If you may hurt yourself or someone else, are in immediate danger, or have a medical emergency, stop using Cara and call your local emergency number or go to the nearest emergency department. Regional crisis links in Cara are provided for convenience and may change or be unavailable.

Permission to process your content

You retain your rights in the text, voice transcripts, check-ins, and other content you enter into Cara ("Your Content"). You grant Amrezo a limited permission to process Your Content solely as needed to operate, secure, support, and improve the functionality you request, consistent with the Privacy Policy and your settings.

You are responsible for Your Content and must have the right to provide it. Do not submit content that is unlawful, infringes another person's rights, contains another person's confidential information without permission, or includes passwords, payment-card numbers, or other credentials.

Acceptable use

You may use Cara only for personal, lawful purposes. You must not:

  • Reverse engineer, copy, modify, distribute, sell, sublicense, or exploit Cara except where applicable law expressly permits it.
  • Circumvent security, subscription, consent, safety, or usage controls.
  • Use Cara to harm, threaten, harass, deceive, discriminate against, exploit, or violate the rights of another person.
  • Use Cara to create or distribute unlawful content, malware, or automated abuse.
  • Represent AI-generated output as professional medical, psychological, legal, or other regulated advice.
  • Interfere with Cara or the services and networks it relies on.

AI features and third-party services

Cara offers on-device AI and optional Premium cloud processing. Premium cloud processing requires your separate permission and sends selected text and context through AIProxy to OpenAI as explained in the Privacy Policy. Local models are downloaded from Hugging Face and GitHub. Optional iCloud synchronization, device authentication, notifications, speech recognition, and subscriptions use Apple services. Your use of third-party services may also be governed by their terms and policies.

We do not control third-party services and are not responsible for their availability, content, or independent acts, except to the extent the law does not permit that exclusion. Features that depend on internet access or third-party services may be interrupted, changed, or discontinued.

Cara Premium subscriptions

Cara Premium is an automatically renewing subscription purchased through the Apple App Store. The price, billing period, free trial if offered, and other purchase details are shown before you confirm the purchase. Payment is charged to your Apple account. Your subscription renews automatically unless you cancel at least 24 hours before the end of the current subscription period. Apple may charge your account for renewal within 24 hours before that period ends.

You can manage or cancel the subscription in your Apple account's subscription settings. Deleting Cara does not cancel a subscription. You can restore eligible purchases from Cara. Premium cloud processing remains off unless you separately allow it; purchasing Premium alone does not enable cloud processing.

Apple handles billing and refunds. Refund eligibility and requests are governed by Apple's policies and applicable law. You can request a refund through Apple's Report a Problem service. Except where applicable law requires otherwise, Amrezo does not provide a separate refund program for App Store purchases.

Ownership

Cara, including its software, design, branding, and content supplied by Amrezo, is owned by or licensed to Amrezo and is protected by intellectual-property laws. These Terms give you a limited, personal, non-exclusive, non-transferable, revocable license to use Cara on Apple-branded devices as permitted by the App Store rules. No ownership rights are transferred to you.

Third-party software and models may be subject to their own licenses. Links, clinical references, and crisis resources remain the property of their respective owners.

Privacy

Our Privacy Policy explains how Cara handles information. By using Cara, you acknowledge those practices and the controls available in the app.

Changes, availability, and termination

We may update, add, remove, suspend, or discontinue features to maintain or improve Cara, comply with law, address security or safety issues, or reflect third-party service changes. We do not guarantee that Cara or any feature will always be available.

You may stop using Cara at any time. You can erase current-device data from You > Privacy > Erase all Cara data and manage your subscription through Apple. We may suspend or terminate access if you materially violate these Terms, create risk or legal exposure, or misuse Cara. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, and dispute terms.

Disclaimers

To the maximum extent permitted by law, Cara is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of accuracy, reliability, fitness for a particular purpose, merchantability, non-infringement, availability, or that Cara will meet your needs. We do not warrant that AI output, wellness observations, crisis screening, third-party links, or services will be correct, complete, timely, safe, or uninterrupted.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded, including applicable consumer-protection rights.

Limitation of liability

To the maximum extent permitted by law, Amrezo and its directors, officers, employees, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of data, goodwill, profits, or opportunities; or decisions or actions taken in reliance on Cara or AI output.

To the maximum extent permitted by law, Amrezo's total liability arising from Cara or these Terms will not exceed the greater of the amount you paid for Cara during the 12 months before the event giving rise to the claim and CAD $100. These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

Indemnity

To the extent permitted by law, you will indemnify and hold Amrezo harmless from third-party claims, damages, and reasonable costs arising from your unlawful misuse of Cara, Your Content, or your material breach of these Terms. This section does not require you to indemnify Amrezo for Amrezo's own unlawful conduct.

Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any consumer rights that let you bring a claim elsewhere, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from these Terms or Cara.

Before filing a claim, please email support@messagecara.com and briefly describe the issue so we can try to resolve it informally. Nothing in this section prevents either party from seeking urgent injunctive relief or using a small-claims process where eligible.

Changes to these Terms

We may update these Terms to reflect changes to Cara, the law, or our practices. We will post revised Terms with a new effective date and provide additional notice where required. Your continued use after revised Terms take effect means you accept them; if you do not agree, stop using Cara.

General

If any provision is unenforceable, it will be modified only as much as necessary or severed, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. These Terms, the Privacy Policy, and applicable Apple terms form the entire agreement about Cara.
